Licensee (Subscriber) agrees that Financial Educators, a subsidiary of Lafayette Private Equity, Inc. (LPE), a California Corporation, 25A Crescent Avenue, #1508, Pleasant Hill, CA 94523 owns all Copyrights on all versions (including Personalized Versions) of its Electronic Booklets (eBooklets).

Active subscribers to the Retirement Prospects system (www.RetirementProspects.com), may download and distribute Advisorbooklets.com eBooklets (as printouts or email attachments) with this Use License to their clients or prospective clients, subject to the following terms and conditions:

1. Subscriber may only modify the content that you are enabled to modify on the advisorbooklet.com site, such as your biography, information about your company, and your photo (Personalized Version). If editable versions (MS Word) are provided, content may be modified for compliance purposes only. Edited versions remains protected under Copyright law.


2. Subscriber may only use the eBooklets to promote your own business in your own name by distributing it only to your clients and potential clients.


3. This Use License is non-exclusive and will not be applicable or assignable to Subscriber's partners, employer, employees, agents, or any other person or entity. However, Subscriber's employees and agents may distribute it for Subscriber in your name.


4. The License is valid only for the region in which you are currently doing business or intend to do business.


5. Title to Subscriber's Personalized Version will remain with LPE until such time as there has been a transfer of the eBooklet to your clients or potential clients. Advisor is the exclusive owner of the Copyright to all Personalized Versions at all times.


6. Please Note that use of outdated eBooklets may violate statutory regulations and may jeopardize your professional license.


7. Distribution of eBooklets or any version of the edited content by Subscriber is prohibited upon suspension or cancellation from the Retirement Prospects system.
   
   

If you are a subscriber to the Retirement Prospects service, your eBooklets subscription is free of charge as long as your Retirement Prospects account is active.

Financial Educators has the right to cancel this License at any time, should Subscriber not fully adhere to the terms of this License Agreement.

This License Agreement, and any license regarding a Personalized Version of this booklet, shall be deemed to have been made in the State of California and shall be governed by and interpreted in accordance with the laws of the State of California, as those laws are applied to contracts entered into and to be performed entirely in California by California residents. In the event that a court of competent jurisdiction makes a final determination that any clause of this License Agreement, or any license regarding a Personalized Version of this booklet, is void or unenforceable, all of the remaining provisions shall remain in full force and effect and shall be fully enforceable. Any legal proceedings arising out of or relating to this License Agreement or copyright, or any license either in the regarding a Personalized Version of this booklet, shall be commenced Superior Court of the State of California for Contra Costa County (the county of LPE's principal place of business) or the U.S. District Court for the Northern District of California (the judicial district for LPE's principal place of business). LPE and any and all persons or entities who use the sample booklet or a Personalized Version in any way for any purpose agree to submit to the jurisdiction of said courts, and to the extent permitted by applicable laws hereby waive any right to challenge venue on the basis of inconvenient forum or otherwise.
